Welcome to HappyBean ("we," "us," or "our"). - The platform may support or provide tax preparation services and submit tax filings on your behalf
- Availability may be limited by jurisdiction and eligibility requirements
- These features may be subject to additional terms and/or fees
3. Important Disclaimer Regarding Tax Services
3.1 HappyBean provides software tools and resources for tax compliance management and may also offer optional tax preparation and filing services where enabled.
3.2 You are solely responsible for: (i) providing accurate, complete, and timely information; (ii) reviewing all returns for accuracy; and (iii) ensuring appropriate approvals are obtained prior to submission.
3.3 HappyBean does not provide tax advice, accounting advice, or legal advice. Users should consult qualified professionals for specific guidance.
3.4 You retain full professional responsibility for all work performed using our platform.
4. User Eligibility
Our Services are intended exclusively for professional bookkeepers, accountants, and accounting firms ("Professionals"). By using our Services, you represent and warrant that:
- You are at least 18 years of age or the age of majority in your jurisdiction
- You possess the legal authority to enter into these Terms
- You are a qualified professional or operate a bookkeeping/accounting practice
- Your use of the Services complies with all applicable laws and regulations
- All information you provide is accurate, current, and complete
5. Account Registration and Security
5.1 Account Creation
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach
5.2 Account Responsibility
You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.
5.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any reason at our sole discretion.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you create derivative works based on the Services.
9. Payment Terms
9.1 Fees
Access to certain features requires payment of fees as specified on our website. All fees are in Canadian dollars unless otherwise stated.

Fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified).
9.3 Fee Changes
We reserve the right to modify fees upon reasonable notice. Continued use after fee changes constitutes acceptance of the new fees.
9.4 No Refunds
All fees are non-refundable except as expressly provided in these Terms or required by applicable law.

Fees do not include applicable taxes. You are responsible for all sales, use, GST/HST, and other taxes associated with your use of the Services.
10. Service Availability and Modifications
We strive to provide reliable and continuous access but do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance and reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.
11. Term and Termination
11.1 Termination by You
You may terminate your account at any time by providing written notice and ceasing all use of the Services.

We may terminate or suspend your access immediately, without prior notice, for breach of these Terms, fraudulent or illegal activity, or other reasons at our discretion.

These Terms shall be governed by the laws of the Province of Nova Scotia and the federal laws of Canada, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Nova Scotia.
14.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HappyBean regarding the Services.
14.5 Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website or emailing you. Continued use after changes constitutes acceptance.
